By accessing or using the AlphaStream AI website, platform, or related services (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions (“Terms”) and our Privacy Policy.

• These Terms constitute a legally binding agreement between you (“User”, “you”, “your”) and AlphaStream AI (“we”, “us”, “our”).
• If you do not agree to these Terms, you must not access or use the Services.
• Continued use of the Services after changes to these Terms constitutes your acceptance of the updated Terms.

2. Eligibility

3. Account Responsibilities

If you register for an account on AlphaStream AI:

• You agree to provide accurate, current, and complete information during registration.
• You are responsible for maintaining the confidentiality of your account credentials, including passwords and SSO/MFA authentication.
• You agree to notify us immediately of any unauthorized access or security breach.
• You are responsible for all activity that occurs under your account, whether authorized by you or not.
• AlphaStream AI may suspend or terminate accounts that violate these Terms or engage in prohibited activity.

4. AI & Financial Disclaimers

• The Services leverage AI-powered document analysis, insights, and financial analytics. While the platform aims for accuracy, outputs are provided “as is”.
• AlphaStream AI does not guarantee completeness, accuracy, or reliability of the information, and users must not rely solely on AI outputs for investment or financial decisions.
• The Services do not constitute financial, legal, or investment advice. Users are responsible for independently verifying results and seeking professional guidance.
• AlphaStream AI is not liable for any direct or indirect losses arising from use of the AI services, outputs, or processed data, except as explicitly stated in these Terms.

5. Subscriptions (If Applicable)

• Certain Services may require paid subscriptions or licenses.
• Subscription details (fees, billing cycles, renewal, and cancellation) will be provided during account registration or purchase.
• Users agree to pay all applicable fees in accordance with the terms specified.
• AlphaStream AI may modify subscription fees with prior notice. Continued use of paid services constitutes acceptance of the updated fees.
• Refunds, if applicable, are governed by our Refund Policy (if any), otherwise as determined by AlphaStream AI.

6. Intellectual Property

• All content, technology, software, AI models, trademarks, logos, and materials provided by AlphaStream AI (“Content”) are the exclusive property of AlphaStream AI or its licensors.
• Users are granted a limited, non-exclusive, non-transferable license to access and use the Services for internal business purposes only, subject to these Terms.
• You may not copy, reproduce, modify, distribute, reverse-engineer, or create derivative works based on our Content, AI models, or platform, except as expressly permitted by AlphaStream AI.
• All rights not expressly granted to you are reserved by AlphaStream AI.

7. Liability Limits

To the maximum extent permitted by law, AlphaStream AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.
This includes damages related to:

• Errors or inaccuracies in AI outputs
• Loss of data or documents
• Unauthorized access to your account
• Decisions made based on Service outputs
• The total aggregate liability of AlphaStream AI for any claims arising out of or related to these Terms shall not exceed the amount paid by you to AlphaStream AI (if any) in the preceding 12 months.
• Some jurisdictions do not allow limitations of liability; where prohibited, the liability is limited to the extent permitted by law.

8. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of laws principles. The courts located in [Jurisdiction] shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Services.

• This clause should match the governing law used in your MSAs, DPAs, and commercial agreements to avoid conflicts.

9. Acceptable Use

Users agree to use the Services in a lawful, responsible, and authorized manner and shall not:

• Upload, transmit, or process any data that is unlawful, infringing, defamatory, or otherwise unauthorized;
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, underlying algorithms, or AI models used in the Services;
• Use AI-generated outputs for unlawful, deceptive, misleading, or fraudulent purposes, including regulatory non-compliance or misrepresentation;
• Conduct security testing, vulnerability scanning, penetration testing, or similar activities without AlphaStream AI’s prior written authorization;
• Interfere with, disrupt, or attempt to compromise the availability, integrity, or performance of the platform, systems, or networks.
• AlphaStream AI reserves the right to suspend or terminate access to the Services for any violation of this Acceptable Use section, in addition to any other rights or remedies available under these Terms or applicable law.
• Explicitly prohibits reverse engineering and model extraction, safeguarding AlphaStream AI’s proprietary technology and AI assets.
• Prevents unlawful uploads and misuse of AI outputs, reducing regulatory, reputational, and customer risk.
• Blocks unauthorized testing and interference, aligning with SOC 2 and ISO 27001 security controls.
• Provides a clear contractual basis to suspend or terminate access without prolonged disputes.
• This section is commonly reviewed by banks, funds, and auditors and signals mature governance and risk management.

10. Confidentiality

• Each party agrees to maintain the confidentiality of any non-public, proprietary, or confidential information received from the other party in connection with the Services and to use such information solely for permitted purposes under these Terms.
• Confidential information shall not be disclosed to any third party except to employees, contractors, or advisors who have a legitimate need to know and are bound by confidentiality obligations no less protective than those set forth herein.
• Each party shall take reasonable measures to protect confidential information from unauthorized access, use, or disclosure.
• Confidentiality obligations shall survive termination or expiration of these Terms, regardless of the reason for termination.
• Private credit, fixed income, and legal documents contain highly sensitive deal, pricing, and counterparty information. This clause is often a deal-breaker in enterprise reviews.
• The clause is mutual, protecting both AlphaStream AI and its customers — a key expectation for enterprise contracts.
• Allows disclosure only on a need-to-know basis with equivalent confidentiality protections, reducing leakage risk.
• Ensures confidentiality obligations continue even after termination, which is essential for long-term data protection.
• Supports obligations under GDPR, DPDP, SOC 2, and ISO 27001 and aligns with standard NDAs used by funds and banks.

11. Termination

AlphaStream AI may suspend or terminate your access to the Services at any time, with or without cause, including in the event of:

• Breach of these Terms
• Unauthorized use of the platform or AI-generated outputs
• Security, compliance, or legal concerns

11.1 Effect of Termination

Upon suspension, termination, or expiration of the Services:

• Your license to access and use the Services will immediately cease.
• You must delete or destroy any copies of AlphaStream AI platform materials in your possession, unless otherwise permitted under these Terms.
• Any fees accrued or owed to AlphaStream AI will remain payable.

Upon termination or expiration of the Services, customer data will be made available for retrieval for a commercially reasonable period, after which it will be securely deleted or anonymized, unless retention is required by applicable law or contractual obligations.

Termination or suspension does not limit any other rights or remedies available to AlphaStream AI under these Terms or applicable law.
